Terms of Service

1. Agreement to Terms
By accessing or using services provided by Studioous Media Agency ("Studioous," "we," "us," or "our"), you agree to be bound by these Terms of Service. If you do not agree with any part of these terms, you may not use our services.
2. Services
Studioous provides brand design, web development, app development, digital marketing, print design, and social media services. The specific scope, deliverables, timeline, and pricing for each engagement are defined in a separate project proposal or statement of work (SOW) agreed upon by both parties before work commences.
3. Project Proposals & Acceptance
All proposals and quotes provided by Studioous are valid for 30 days from the date of issue unless otherwise stated. A project is considered accepted and binding once the client provides written confirmation (email or signed SOW) and any required upfront payment has been received.
4. Payment Terms
- Payment schedules are outlined in each project proposal, typically structured as a percentage upfront with milestone or completion payments.
- Invoices are due within 14 days of issue unless otherwise agreed.
- Late payments may be subject to a 1.5% monthly interest charge. We reserve the right to pause work on projects with overdue invoices.
- All fees are quoted in INR or USD as specified in the proposal and are exclusive of applicable taxes.
5. Intellectual Property
Upon full and final payment:
- All custom deliverables (designs, code, assets) created specifically for the client are transferred to the client.
- Studioous retains the right to use general knowledge, skills, techniques, and non-proprietary tools or frameworks utilised during the project.
- We reserve the right to showcase completed work in our portfolio and case studies unless a Non-Disclosure Agreement (NDA) is in place.
- Third-party assets (stock photography, licensed fonts, plugins) remain subject to their respective licence terms.
6. Client Responsibilities
- Provide timely feedback, approvals, and required materials (content, brand assets, credentials) to avoid project delays.
- Ensure that any materials provided to us do not infringe on third-party intellectual property rights.
- Designate a single point of contact for project communication and decision-making.
7. Revisions & Scope Changes
The number of revision rounds included is specified in each project proposal. Additional revisions or changes to the agreed scope (new features, additional pages, expanded deliverables) will be quoted separately and require written approval before work begins. Scope changes may affect the project timeline and cost.
8. Confidentiality
Both parties agree to keep all proprietary or confidential information shared during the engagement strictly confidential. This includes business strategies, customer data, financial information, and any materials marked as confidential. A separate NDA may be executed at the request of either party.
9. Cancellation & Refunds
- Either party may terminate an engagement with 14 days written notice.
- Upon cancellation, the client is liable for all work completed up to the termination date, plus any non-recoverable third-party costs incurred.
- Upfront payments are non-refundable once work has commenced, except at Studioous's sole discretion.
- Completed and approved deliverables will be handed over upon settlement of outstanding invoices.
10. Warranties & Limitation of Liability
We strive for excellence in every project. However:
- Services are provided "as is" without warranties of any kind regarding specific business outcomes (e.g., revenue, traffic, conversion rates).
- Our total liability for any claim arising from a project shall not exceed the fees paid by the client for that specific engagement.
- We are not liable for indirect, incidental, or consequential damages including lost profits, data loss, or business interruption.
11. Third-Party Services
Some projects may involve third-party platforms, tools, or services (hosting providers, payment gateways, APIs). We are not responsible for the availability, performance, or terms of these external services. Costs associated with third-party subscriptions or licences are the responsibility of the client unless otherwise agreed.
12. Governing Law & Disputes
These terms are governed by the laws of India. Any dispute arising from or related to these terms or our services shall first be attempted to be resolved through good-faith negotiation. If a resolution cannot be reached within 30 days, the dispute shall be submitted to binding arbitration in accordance with applicable Indian arbitration law.
13. Changes to These Terms
We may update these terms from time to time. Changes will be posted on this page with a revised "Last updated" date. Continued use of our services after changes are posted constitutes acceptance of the revised terms.
